Terms and conditions
1. Who we are
The service “Unvexa” is provided by TOKKA EOOD, ЕИК 202830250, VAT BG202830250, registered address: Acad. Jordan Trifonov Str. 7B, 1700 Sofia, Bulgaria (ул. „Акад. Йордан Трифонов“ 7Б, 1700 София), email contact@unvexa.com (“we”).
These terms apply to every order by a business customer (“you”). The service is offered only to businesses and public-law entities, not to consumers.
2. What the service is
- You name the request you are responding to: a public tender, a company's request for proposal (RFP), a supplier onboarding pack, or a funding call. We tell you what its documents require from you (the free initial fit check).
- You supply the documents and information on that list.
- We prepare a draft response from the request's documents and your data, in the language of the request, together with a table of the requirements showing where each is addressed.
The package is a working draft prepared with the help of software, including AI systems. It is not legal advice, and it is not a submitted bid.
What we never do:
- sign statements, declarations or attestations on your behalf; you sign your own;
- log into a buyer's portal or any platform with your credentials; we deliver the file and you upload it;
The service does not cover insurance applications or US government certification packages.
3. Your responsibilities
You remain the bidder in every respect. In particular, you are responsible for:
- Accuracy and completeness of your data. The package reflects the documents and information you supply. We do not verify them, and we do not supply facts about your company.
- The final review. Before submission you read the whole package, check it against the tender documentation, complete every point marked as open, and correct anything that is inaccurate.
- Signature and submission. You sign (including qualified electronic signatures) and submit the bid yourself, on the procedure's platform (e.g. ЦАИС ЕОП, SICAP, eTendering), within the deadline. We never submit on your behalf.
- Clarification questions and deadlines. You follow the procedure: clarifications, amendments, deadlines, and any communication with the contracting authority.
- Rights to what you upload. You have the right to share the documents you give us, including any personal data in them (see the Privacy notice and section 8).
4. Responsibility
- We provide the service with care and to the best of our abilities. This is an obligation of effort, not of result. We do not guarantee any outcome, including that a document is complete, correct or compliant, or that a bid, application or questionnaire is accepted, scored well or successful.
- Everything we prepare is a draft for your review. Errors and omissions can happen, including in content produced with the help of AI.
- You must review, correct and approve every document in full before you submit it or rely on it. When you submit a document, you adopt it as your own. You alone are responsible for what you submit, for its accuracy, and for every statement in it, including answers about security, compliance and eligibility.
- To the fullest extent permitted by law, TOKKA EOOD is not liable for any loss arising from the service or from documents you submit, including lost contracts, grants, profits or opportunities. Where the law does not allow liability to be excluded, it is limited to the fee you paid for the affected order.
- Nothing in these terms excludes or limits liability that cannot be excluded or limited by law.
The requirements table shows what we identified and where it is addressed. It helps your review; it does not replace it.
5. Delivery time and the initial fit check
For pre-orders, section 11 applies; where it differs from this section, section 11 prevails.
- The initial fit check is free and does not oblige you to order. It tells you what the request requires, the deadline and whether your company appears to fit; it is not a full assessment of your bid. Its result is green, yellow or red. Green means our system found no significant issues; it is not a prediction of the evaluation, of an award or of funding. Yellow and red come with up to three main reasons.
- The delivery time for each order is stated in our written quote and agreed before work starts, counted from receiving the documents on the list. If documents are missing, the response is delivered with those points marked as open.
- If the time left before the submission deadline is shorter than we need, we tell you in the fit check or in our quote. We are not obliged to accept an order.
6. Price and payment
The price for each order is stated in our written quote and agreed in writing before work starts. The initial fit check is free. For pre-orders, section 11 applies; where it differs from this section, section 11 prevails.
- Payment in full when you confirm the order, before work starts.
- By bank transfer against an invoice from TOKKA EOOD, or, where our order page offers it, by card through a payment page hosted by our payment provider. Card details go to the payment provider, not to us.
- No refund once work has started, because the work is prepared for you specifically. If we cannot take on an order after you have paid, we refund the full amount.
- Prices exclude VAT. VAT is added according to your country and status. For business customers in other EU countries, the reverse charge applies where the law provides for it.
7. Liability
Liability is governed by section 4 (Responsibility).
8. Confidentiality and personal data
- We keep your documents confidential. We use them to prepare your packages and for the learning use in section 8.4. Your documents, and the facts and ideas in them, are never shown, quoted or reproduced in work for another customer. We process them with approved AI service providers acting as our processors, under data-processing terms, and they never use them to train their models. We store your documents on our own systems and with our hosting provider. Our AI providers keep them only for a limited period under their own terms (see our security page). Our providers are listed, by category, at /privacy/providers/. Clients under the data-processing annex (section 10) are told before a sub-processor is added or replaced, as the annex sets out.
- Where your documents contain personal data (e.g. CVs of your experts), we process it on your behalf as a processor, under the data-processing annex (section 10), which is accepted with the order, and as a separate controller for the learning use in section 8.4. Details are in the Privacy notice.
- We keep order documents as received, together with the learning copy described in the privacy notice, and do not delete them automatically. A request to delete is handled when it arrives, as the privacy notice (section 5) explains.
- Learning. Learning is part of the service and a condition of every order, whatever the programme. We keep a copy of the documents you send for an order, the result of your application or bid and any evaluation report (such as an ESR), and learn from them to improve our service for all customers. Only general results (totals, weights and check definitions) are used in work for other customers; no customer's text, facts or ideas reach another customer's work. There is no opt-out for your company's information; people named in your documents keep their right to object, as the privacy notice (section 4b) explains.
- Personal data of other people. Before you upload documents that contain personal data of other people (for example CVs of your staff, partners or experts), you confirm, by ticking the box in the upload form, that you are entitled to share that data with us and that the people concerned gave their consent. You are responsible for this confirmation being true.
9. Changes, law and disputes
- The version of these terms in force when you place an order applies to that order.
- Bulgarian law applies. Disputes go to the competent court in Sofia.
- If a clause is invalid, the rest remains in force.
10. Data-processing annex (GDPR art. 28)
This annex applies to every order in which we process personal data on your behalf (for example your experts' CVs). It is attached to these terms and accepted with the order; it is not signed separately. For that processing you are the controller and TOKKA EOOD is the processor, and where this annex and the terms differ on it, this annex applies. This annex does not cover the learning use in section 8.4, for which we are a separate controller. Before you upload documents with other people's personal data, you give the confirmation in section 8.5.
- Instructions. On your behalf, we process the personal data only to prepare the deliverable you ordered, on your documented instructions (the order, these terms and your written requests, email is enough). We process no personal data of yours before your order is confirmed. The buyer's request documents you send for the free fit check may contain contact names; they are processed under our AI providers' terms. Please send none of your own personal data before then.
- Sub-processors. You authorise us to use AI service providers, a hosting provider and an email provider. We tell you in writing at least 14 days before adding or replacing a sub-processor that will receive your personal data. You may object on reasonable data-protection grounds within that period. The current list is at /privacy/providers/.
- Security measures. We apply technical and organisational measures appropriate to the risk (GDPR art. 32). They include encryption of, and access control on, our working storage on our own systems. Our processing logs keep fingerprints (hashes), token counts and file references, not the text of your documents. The one exception is a response cache that keeps the AI provider's replies, which are derived from your documents; it is kept in encrypted, access-controlled storage and used only for the order it was made for. It is not deleted automatically; it is deleted when you ask us to delete your data (item 7). Uploaded documents are converted to text and read as data; they are never opened in office software, and instructions hidden in them are not followed.
- Personal-data breach. We tell you without undue delay, and at the latest within 48 hours after we become aware of a breach affecting your personal data, and help you meet your duties to notify the supervisory authority and the data subjects.
- Audits. We make available the information you need to show that we meet art. 28, and allow audits by you or an auditor you appoint, on reasonable written notice, under confidentiality. Audits beyond written information are at your cost.
- Data-subject requests. If a data subject writes to us about the processing on your behalf, we pass the request to you without delay and help you answer it. Requests about the learning use in section 8.4, including objections, we answer ourselves, as the Privacy notice (sections 4b and 5) explains.
- End of processing. When the order ends, our processing on your behalf ends. Nothing is deleted automatically (section 8.3). At your choice, on your request, we return to you or delete the personal data we processed on your behalf, including our working records for the order; a request is handled when it arrives, as the Privacy notice (section 5) explains. This does not cover the documents as received and the learning copy, which we keep as a separate controller for the learning use in section 8.4. Apart from those, we keep a copy only where EU or Bulgarian law requires it.
11. Pre-orders for the proposal review
This section applies only to a pre-order placed through an order page of ours that offers one. Where it differs from sections 5 or 6, this section prevails.
- What a pre-order is. You may pay now for our proposal review (Basic or Plus, as described at checkout) before the service is open. The service is not open yet, and we give no date for when it will open. A pre-order secures your review for when the service opens; it does not start any work now.
- Business customers only. Pre-orders are for businesses and public-law entities, not consumers (section 1). At checkout you confirm that you order for a business and give your company name, country and VAT ID, if your business has one. If we find that an order was placed by a consumer, we cancel it and refund the full amount.
- Price and payment. The price is the one stated at checkout, excluding VAT. You pay in full at checkout, through a payment page hosted by our payment provider. Your card details go to the payment provider, not to us. We send you an invoice from TOKKA EOOD.
- VAT. VAT is added according to your country and status. For business customers in another EU country with a valid VAT ID, the reverse charge applies where the law provides for it. A refund includes the VAT you paid; we issue the corresponding credit document.
- No documents before the service opens. Do not send us your proposal or any other document now. When the service opens, we write to the email address you gave at checkout and ask for what we need: your proposal and, for Plus, the evaluators' report. We accept documents only from then on.
- When the service opens. We tell you by email. If what we offer then differs from the description at checkout, we say how, and you choose: the review as now offered, or a full refund. For Plus, if you cannot provide the evaluators' report, you may switch to Basic and receive the price difference back, or have a full refund.
- Full refund on request until delivery. You may cancel your pre-order at any time until delivery by writing to contact@unvexa.com, for any reason, and we refund the full amount you paid. This applies before and after the service opens, and after you have sent documents, as long as we have not delivered. Section 6.3 does not limit this right for a pre-order.
- What "delivery" means. Delivery is our sending you the written review for your pre-order, as an attached file or a link, to the email address you gave at checkout or later told us in writing. The time of delivery is the time we send it; a message returned as undeliverable is not a delivery until we send it again. The following are not delivery: the payment receipt, the invoice, the order confirmation, the email that tells you the service is open, a request for documents or information, a question, and a status notice. We keep a record of each delivery (date and pre-order). After delivery, the pre-order is an order like any other and sections 4, 6.3 and 7 apply.
- If the service does not open. If we decide not to open the service, we tell you by email and refund the full amount you paid. If the service has not opened within 12 months after your payment, we refund the full amount without your asking, unless you have told us in writing before then that you want to keep the pre-order.
- How we refund. Within 14 days of your request, of our notice under 11.6 or 11.9, or of the end of the 12 months in 11.9, to the card or account you paid with. If that is not possible, by bank transfer to an account you give us in writing. A refund ends the pre-order and our obligations under it, except liability for intent or gross negligence, which these terms do not limit.
- Other terms. Everything else in these terms applies to a pre-order, including the data-processing annex (section 10) once you send documents.
